1. Agreement to these Terms

These Terms of Service (the "Terms") are a legal agreement between you and Paravane Labs, Inc. ("Paravane," "we," "us," or "our"), a company owned by DOYDL Technologies, LLC, governing your access to and use of Paravane websites, documentation, dashboards, APIs, software, scoring outputs, support services, and related offerings, including the smtpRS API (collectively, the "Services").

By creating an account, submitting an evaluation or signup request, verifying an email address, signing in to the dashboard, clicking to accept the Terms, signing an order form that references the Terms, accessing the Services, using an API key, or completing a checkout flow, you agree to be bound by these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" and "Customer" refer to that organization.

If you do not agree to these Terms, do not access or use the Services. If there is a signed order form, statement of work, enterprise agreement, or other written agreement between you and Paravane that expressly conflicts with these Terms, the signed written agreement controls only for the conflicting subject matter.

2. Definitions

"Account" means a registered Paravane account, dashboard workspace, organization, tenant, user profile, or other administrative profile used to access the Services.

"API" means an application programming interface made available by Paravane, including the smtpRS API and related endpoints.

"API Data" means data, identifiers, queries, fields, payloads, metadata, files, and other information that Customer or its users submit to, generate through, or receive from the Services, including submitted email addresses, domain names, IP addresses, request metadata, and risk scoring outputs where applicable.

"Customer Data" means API Data and other data Customer submits to the Services, excluding Paravane technology, Paravane usage analytics, aggregated/de-identified data, and Paravane account/billing records.

"Documentation" means Paravane's published developer documentation, integration guides, dashboard instructions, API reference materials, and usage policies.

"Order" means an online checkout, Stripe-hosted checkout session, subscription selection, plan selection, usage-based purchase, invoice, statement of work, order form, or other ordering process that references these Terms.

"Usage Limits" means request quotas, rate limits, concurrency limits, monthly allotments, endpoint restrictions, storage limits, or other limits stated in an Order, plan page, dashboard, or Documentation.

3. Eligibility, authority, and account registration

You must be at least 18 years old, or the age of majority where you live, to use the Services. The Services are intended for business and developer use, not for children or consumer accounts operated by minors.

You agree to provide accurate account, organization, billing, and contact information and to keep that information current. Account access may require email verification, approval, admin review, password reset checks, or other onboarding controls. Paravane may use the email address and dashboard notices associated with your Account for operational, legal, security, product, and billing notices.

You are responsible for all activity under your Account, including activity by employees, contractors, agents, users, systems, scripts, and applications that access the Services with your credentials, sessions, or API keys.

4. API keys, credentials, and account security

You must keep API keys, passwords, session tokens, reset tokens, verification links, and credentials confidential and secure. You may not share API keys in public repositories, client-side code, mobile apps, browser extensions, logs, screenshots, public forums, or any other place where they may be exposed.

You must promptly notify Paravane if you suspect unauthorized access to your Account, API keys, Customer Data, or systems integrated with the Services. Paravane may rotate, revoke, or disable credentials where reasonably necessary to protect the Services, Customer, other customers, or third parties.

You are responsible for configuring your integrations securely, using TLS/HTTPS, applying least privilege, validating input and output, monitoring usage, and protecting any data you receive from the Services.

5. Access to the Services

Subject to your compliance with these Terms, Paravane grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the applicable subscription term to access and use the Services for your internal business purposes and in accordance with the Documentation, Order, Usage Limits, and Acceptable Use Policy.

Paravane may provide APIs, SDKs, dashboards, admin review workflows, API key management, usage reporting, billing pages, documentation, scoring models, data pipelines, analytics, model outputs, reports, or other features. Features may vary by plan, geography, endpoint, account status, subscription status, and product availability.

Paravane may update, improve, modify, deprecate, suspend, or discontinue features, endpoints, fields, data sources, or model behavior. Where commercially reasonable, Paravane will provide advance notice of material API deprecations, but you remain responsible for monitoring Documentation and managing integration changes.

6. Customer Data and rights

As between you and Paravane, you retain all rights in Customer Data. You grant Paravane and its subprocessors a limited right to host, process, transmit, store, transform, analyze, display, and otherwise use Customer Data only as reasonably necessary to provide, secure, support, maintain, improve, and troubleshoot the Services; comply with law; enforce these Terms; and as otherwise permitted by these Terms or your written instructions.

You represent and warrant that you have all rights, notices, permissions, consents, authorizations, lawful bases, and other legal authority necessary to submit Customer Data to the Services and to permit Paravane to process Customer Data as described in these Terms, the Privacy Policy, and any applicable Data Processing Addendum.

You are responsible for the accuracy, legality, quality, and appropriateness of Customer Data and for determining whether the Services are suitable for your intended use. Paravane does not control what Customer Data you choose to submit.

7. Personal data, privacy, and data processing terms

Paravane's Privacy Policy describes how Paravane collects, uses, discloses, and retains personal information in connection with the Services. The Privacy Policy is incorporated into these Terms by reference.

To the extent Paravane processes personal data on behalf of Customer as a processor, service provider, or contractor, the Paravane Data Processing Addendum (the "DPA") applies and is incorporated into these Terms by reference. If Customer requires a signed DPA, Customer may request one at the privacy contact listed below.

You may not submit regulated, sensitive, or special categories of personal data to the Services unless your Order or a separate written agreement expressly permits that data type and Paravane has agreed to appropriate additional terms. Prohibited data includes protected health information, full payment card data, government identification numbers, financial account numbers, precise geolocation, biometric identifiers, children's data, and special-category data under GDPR unless expressly authorized.

8. Usage limits, rate limits, and fair use

Your plan or Order may include monthly request quotas, endpoint limits, rate limits, concurrency limits, overage rules, retention limits, or other Usage Limits. You must not attempt to bypass, obscure, distribute, resell, pool, or evade Usage Limits.

Paravane may throttle, rate-limit, queue, suspend, or otherwise restrict requests that exceed Usage Limits, threaten availability, cause excessive latency or cost, appear abusive or fraudulent, or otherwise risk harm to the Services or other users.

Unused credits, quota, or request allotments do not roll over unless the applicable Order expressly states otherwise. Usage is measured by Paravane's systems, including API request logs, usage events, plan entitlements, and billing records, which are the source of truth for quotas, metering, plan enforcement, and overages unless there is clear error.

9. Fees, billing, taxes, renewals, and cancellation

Paid features require payment of the fees stated at checkout, in the dashboard, on the pricing page, in Stripe-hosted checkout, or in an Order. You authorize Paravane and its payment processor to charge your payment method for subscription fees, usage fees, overages, taxes, and other amounts due. Paravane uses third-party payment processors such as Stripe and does not intend to store full payment card numbers or CVV codes.

Subscriptions renew automatically for successive monthly or other stated billing periods unless cancelled before renewal through the dashboard, Stripe customer portal, or another cancellation method described in your Order. Depending on the active billing configuration, plan, and cancellation method, cancellation or downgrade may take effect immediately or at the end of the then-current paid term unless the Order or applicable law states otherwise.

Fees are non-refundable except where required by law or expressly stated in your Order. Plan upgrades, downgrades, renewals, cancellations, taxes, credits, trials, coupons, and proration behavior may be handled through Stripe or another billing provider according to the configuration active at the time of purchase. Paravane may change prices, plans, quotas, and features for future renewal terms by providing notice or posting updated pricing before the change takes effect.

You are responsible for all taxes, duties, levies, and governmental assessments associated with your purchase, excluding taxes based on Paravane's net income. If payment is overdue, cancelled, disputed, past due, incomplete, or reversed, Paravane may suspend access, downgrade your plan, disable paid features, revoke API keys, or terminate the Account after reasonable notice where practicable.

10. Acceptable Use Policy

You must comply with the Paravane Acceptable Use Policy, which is incorporated into these Terms by reference. Without limiting the AUP, you may not use the Services for unlawful, harmful, abusive, deceptive, invasive, discriminatory, security-compromising, or rights-violating purposes.

Paravane may investigate suspected violations and may suspend or terminate access where Paravane reasonably believes the Services are being used in violation of the AUP, these Terms, law, or third-party rights.

11. smtpRS outputs and risk-scoring limitations

smtpRS outputs, scores, labels, reasons, confidence values, and other results are probabilistic technical signals. They may be incomplete, incorrect, stale, unavailable, biased by data limitations, or unsuitable for a particular use. They are not guarantees that an email address, domain, account, user, transaction, or event is safe, fraudulent, malicious, valid, invalid, deliverable, or associated with any person.

You are responsible for validating outputs, setting thresholds, monitoring false positives and false negatives, and using independent review and additional evidence before taking action that may affect a person, account, transaction, business relationship, access right, or service.

Unless Paravane expressly agrees in a signed written agreement, you may not use the Services as a consumer report, consumer reporting agency service, background screening service, employment screening service, tenant screening service, credit/insurance eligibility service, government-benefits eligibility service, law-enforcement evidentiary tool, medical or healthcare decisioning tool, or for other regulated eligibility decisions.

You may not use the Services as the sole basis for adverse action against a person or to make decisions that produce legal, economic, or similarly significant effects without appropriate human review, lawful basis, notice, appeal rights, and compliance with all applicable laws.

12. Compliance with laws and customer responsibilities

You must use the Services in compliance with all applicable laws, regulations, rules, sanctions, export controls, privacy laws, data protection laws, consumer protection laws, anti-spam laws, cybersecurity laws, and industry requirements.

You are responsible for your products, services, websites, applications, databases, communications, notices, consents, opt-outs, customer support, legal bases, privacy policies, data subject requests, and decisions made using or informed by the Services.

You must not represent that Paravane has verified, approved, certified, endorsed, or guaranteed your use case, customer data, compliance posture, or decisions unless Paravane has expressly done so in writing.

13. Third-party services, data sources, and integrations

The Services may interoperate with third-party services, hosting providers, payment processors, email providers, analytics providers, security providers, public data sources, commercial data sources, open-source software, and customer-selected integrations.

Paravane is not responsible for third-party services or customer-selected integrations. Your use of third-party services may be subject to separate terms, privacy policies, fees, availability, and data processing arrangements.

Where required by licenses or data-source terms, Paravane may provide attribution, notices, usage restrictions, or additional terms in Documentation, legal pages, or an Order.

14. Beta, preview, and experimental features

Paravane may offer alpha, beta, preview, evaluation, or experimental features. These features may be incomplete, unstable, inaccurate, unsupported, subject to change, subject to additional restrictions, or discontinued at any time.

Beta features are provided "as is" and, unless expressly stated otherwise, are excluded from service commitments, uptime obligations, support commitments, warranties, indemnities, and liability commitments to the maximum extent permitted by law.

15. Service availability, support, and maintenance

Paravane will use commercially reasonable efforts to make the Services available, but does not guarantee uninterrupted or error-free operation unless a separate signed SLA applies.

The Services may be unavailable due to planned maintenance, emergency maintenance, outages, third-party failures, rate limiting, abuse mitigation, security incidents, customer misconfiguration, force majeure events, or circumstances outside Paravane's reasonable control.

Support channels, response times, and support scope may vary by plan. Paravane is not responsible for supporting unsupported integrations, deprecated endpoints, customer code, customer systems, or uses outside Documentation.

16. Security

Paravane will maintain an information security program designed to protect Customer Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or unauthorized access, taking into account the nature of the Services, the information processed, and the risk presented.

Security is a shared responsibility. You are responsible for securing your accounts, devices, networks, applications, API keys, logs, credentials, and downstream systems and for promptly installing updates and applying reasonable safeguards in your environment.

No system is perfectly secure. Paravane does not guarantee that the Services will be immune from every vulnerability, attack, outage, or unauthorized access event.

17. Confidentiality

Each party may receive non-public information from the other party that is marked confidential or should reasonably be understood to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information"). Customer Data, API keys, non-public technical information, non-public security information, pricing in non-public Orders, and business plans are Confidential Information.

The receiving party will use Confidential Information only to perform or receive the Services or exercise rights under these Terms; protect it using at least reasonable care; and disclose it only to personnel, contractors, advisors, affiliates, and subprocessors who need to know it and are bound by confidentiality obligations.

Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed without use of Confidential Information, rightfully received from a third party without restriction, or required to be disclosed by law after reasonable notice where legally permitted.

18. Intellectual property

Paravane and its licensors own all rights, title, and interest in and to the Services, Documentation, software, APIs, SDKs, models, algorithms, scoring logic, features, designs, dashboards, websites, trademarks, service marks, and other Paravane technology and content, including improvements and derivatives.

Except for the limited access rights expressly granted in these Terms, no rights are transferred to you. You may not copy, modify, reverse engineer, decompile, disassemble, sell, resell, rent, lease, sublicense, host, white-label, or create derivative works of the Services except as expressly permitted by law or by a signed written agreement.

You may not use Paravane names, logos, trademarks, or branding without prior written approval, except to accurately identify Paravane as a technology provider in a factual and non-misleading manner where permitted by law.

19. Feedback

If you provide ideas, suggestions, improvements, bug reports, feature requests, or other feedback, you grant Paravane a perpetual, irrevocable, worldwide, royalty-free right to use, disclose, reproduce, modify, distribute, and exploit that feedback without restriction or compensation. Paravane is not obligated to treat feedback as confidential unless separately agreed in writing.

20. Publicity

Paravane will not use your name, logo, or trademarks in public customer lists, case studies, press releases, or marketing materials without your prior consent, unless your Order states otherwise. Paravane may use your name internally to identify you as a customer and to provide support, billing, and account management.

21. Indemnification

You will defend, indemnify, and hold harmless Paravane, its affiliates, officers, directors, employees, contractors, licensors, and subprocessors from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to Customer Data, your products or services, your use of the Services, your violation of these Terms or the AUP, your violation of law, your decisions or actions based on outputs, or allegations that Customer Data or your use infringes or violates third-party rights.

For paid customers, Paravane will defend Customer against a third-party claim alleging that the Services, when used as authorized by these Terms and Documentation, directly infringe a U.S. patent, copyright, or trademark, and will pay final damages or settlements approved by Paravane. Paravane has no obligation for claims arising from Customer Data, customer instructions, modifications, combinations with non-Paravane technology, use outside the Documentation, beta features, open-source components, or continued use after Paravane provides a non-infringing alternative or termination right.

The indemnified party must promptly notify the indemnifying party, provide reasonable cooperation, and allow the indemnifying party to control the defense and settlement, except that no settlement may impose admission of liability or non-monetary obligations on the indemnified party without consent.

22. Disclaimers

To the maximum extent permitted by law, the Services, Documentation, beta features, outputs, scores, signals, and all related materials are provided "as is" and "as available." Paravane disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, uninterrupted operation, and error-free performance.

Paravane does not warrant that outputs will be accurate, complete, current, unbiased, or suitable for any particular threshold, decision, compliance obligation, fraud workflow, security workflow, marketing workflow, or business result. You assume all risk from your use of outputs and decisions based on them.

23. Limitation of liability

To the maximum extent permitted by law, Paravane and its affiliates, officers, directors, employees, contractors, licensors, and subprocessors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost business; loss of goodwill; loss, corruption, or unavailability of data; business interruption; security incidents caused by customer systems; or costs of substitute services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Paravane's aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts paid by Customer to Paravane for the Services giving rise to the claim during the 12 months before the event giving rise to liability, or (b) USD $100. This cap applies regardless of legal theory and whether claims are based in contract, tort, negligence, strict liability, statute, or otherwise.

The liability limitations in this section do not limit payment obligations, confidentiality obligations, misuse of intellectual property, indemnity obligations, fraud, willful misconduct, gross negligence, or liabilities that cannot legally be limited.

24. Suspension and termination

Paravane may suspend or restrict access immediately if Paravane reasonably believes that your use violates these Terms, the AUP, law, third-party rights, security requirements, Usage Limits, payment obligations, or creates risk to the Services, Paravane, other customers, or third parties.

Either party may terminate a subscription or Order for material breach if the breach is not cured within 30 days after written notice, except that Paravane may terminate immediately for serious abuse, security risk, unlawful use, non-payment, or repeated violations.

You may stop using free Services at any time. Paid subscriptions remain subject to the cancellation and payment terms above. Termination does not relieve you of amounts owed for periods before termination.

25. Effect of termination and data deletion

Upon termination or expiration, your right to access the Services ends. Paravane may delete Customer Data after termination according to its retention schedules, backup cycles, legal obligations, and Documentation.

Where technically feasible and legally permitted, Paravane may provide a reasonable opportunity to export certain Customer Data before deletion, but Paravane is not required to maintain inactive Accounts indefinitely or provide exports after deletion has begun.

Sections that by their nature should survive termination will survive, including payment obligations, confidentiality, intellectual property, feedback, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous provisions.

26. Changes to these Terms

Paravane may update these Terms from time to time. Paravane will post the updated Terms with a new last-updated date and, where required by law or commercially reasonable for material changes, provide additional notice through the dashboard, email, or website.

Updated Terms apply to new Orders immediately and to existing subscriptions at renewal or after the stated effective date, unless a different effective date is required by law or stated in the notice. Continued use after the effective date constitutes acceptance of the updated Terms.

27. Dispute resolution, governing law, and venue

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state courts located in Fairfax County, Virginia and the federal courts located in the Eastern District of Virginia.

Before filing a claim, each party agrees to try to resolve the dispute informally by providing written notice describing the dispute and allowing at least 30 days for good-faith discussions.

No arbitration clause is included in these Terms unless a separate signed agreement expressly states otherwise.

28. Export controls and sanctions

You may not access or use the Services in violation of U.S. export controls, sanctions, embargoes, or trade restrictions. You represent that you and your users are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, and are not on a restricted-party list.

29. Notices

Paravane may provide notices by email, dashboard notification, website posting, or other reasonable means. Legal notices to Paravane should be sent to legal@paravane.io and 11166 Fairfax Blvd Suite 500 #1378, Fairfax, VA 22030, United States; Phone: (703) 972-1286, with a copy to the account representative if applicable.

You are responsible for keeping your notice email address current. Notices are deemed given when sent, posted, or delivered, unless applicable law requires a different method.

30. Miscellaneous

These Terms, together with the Privacy Policy, AUP, DPA where applicable, Documentation, and Orders, are the entire agreement between the parties regarding the Services and supersede prior or contemporaneous understandings on that subject.

You may not assign these Terms without Paravane's prior written consent, except to a successor in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets, provided the assignee agrees to be bound by these Terms. Paravane may assign these Terms to an affiliate or successor.

If any provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. The parties are independent contractors. There are no third-party beneficiaries except as expressly stated.
